Kova Terms of Service (Draft)
1. Agreement
These Terms of Service ("Terms") are an agreement between you and [Kova legal entity name], an Ontario corporation ("Kova", "we", "us"). They govern your use of the Kova website, app and related services (the "Service"). Before you create an account, we show you these Terms and our Privacy Policy and ask you to accept or decline them. You can correct any errors in your information before you accept.
Nothing in these Terms limits any right you have under the Consumer Protection Act, 2002 (Ontario) or other consumer protection law that cannot be waived.
2. Eligibility
You may use the Service only if you are at least 18 years old and a resident of Ontario. You confirm both when you sign up, and you agree to tell us if you move outside Ontario. If you are no longer eligible, we may limit the Service to general educational content or close your account under section 13.
3. What Kova does and does not do
What Kova does. Kova shows your connected accounts in one place and gives you automated, personalized recommendations about: which registered account type (such as an FHSA, TFSA or RRSP) to direct savings to and how much; moving idle cash to deposit accounts; which credit cards may suit your spending; paying down debt; and budgeting. Recommendations are generated by software using the information you connect and enter.
What Kova does not do. Kova does not:
- recommend, rank or select any security or investment product, including stocks, bonds, ETFs, mutual funds or crypto assets;
- recommend an asset allocation or manage investments, or buy or sell anything for you;
- provide investment advice, tax-filing services, legal advice, insurance advice or mortgage brokering;
- act as your financial planner or financial advisor, or hold out anyone as one.
Kova is not registered with any securities regulator and is not a bank, credit union, dealer or adviser. You make every financial decision yourself. For investment, tax or legal advice about your situation, consult a qualified, registered or licensed professional.
How we are paid. Kova is paid only by subscription fees from users. No bank, card issuer or other company pays us for recommendations, referrals or placement.
4. Your account and connected accounts
You are responsible for keeping your Kova login secure and for activity under your account. Tell us promptly at [support email] if you suspect unauthorized access.
To connect bank or credit card accounts, you use a third-party data connection provider, Plaid. You sign in to your financial institution through that provider, not through Kova, and Kova does not see or store your bank password. Your use of the provider is also governed by its own terms and privacy policy. The connection is read-only: Kova cannot move money, make payments or change anything in your accounts.
You can disconnect any account at any time in Settings. Connection quality depends on your institution and the provider; data may be delayed, incomplete or temporarily unavailable.
5. Information you provide
Some recommendations depend on information only you can give us, such as your income, your TFSA, RRSP and FHSA contribution room from your latest Notice of Assessment, and whether you qualify as a first-time home buyer. You agree to provide accurate information and update it when it changes.
Kova does not check this information with the Canada Revenue Agency. If what you enter is wrong or out of date, our recommendations may be wrong. Exceeding your contribution room can result in CRA penalty tax, so confirm your room in CRA My Account before contributing.
6. Subscriptions, billing and cancellation
Plans. Kova offers a monthly plan and a yearly plan. Kova $6.99 per month or $67 per year, plus applicable taxes (HST). The plan, price, billing frequency and renewal terms are shown to you before you subscribe.
Payment. Payments are processed by Stripe. Kova does not store your full card number. You authorize us to charge your payment method at the start of each billing period until you cancel.
Automatic renewal. Subscriptions renew automatically for the same term at the then-current price. For annual plans, we email you a reminder at least [30] days before renewal with the renewal date, price and how to cancel.
Price changes. We will give you at least 30 days' notice before a price change takes effect. It applies from your next renewal, and you can cancel before then at no cost.
Cancelling. You can cancel at any time in Settings, in [two] steps or fewer, or by emailing [support email]. Cancellation takes effect at the end of your current billing period, and you keep Pro access until then.
Refunds. Monthly plans are not refunded for partial months. Annual plans cancelled within 14 days of purchase or renewal receive a full refund; after that, no refund applies. This does not limit any cancellation or refund right you have under the Consumer Protection Act, 2002, including where required disclosure was not provided.
Copy of this agreement. After you subscribe, we email you a copy of these Terms and your subscription details.
7. Estimates and your decisions
Dollar figures in Kova, such as estimated tax refunds, rewards value or interest earned, are estimates. They are based on your data, the information you enter, tax rules and card terms as we last verified them, and the assumptions shown with each recommendation. Actual results will differ. Kova does not guarantee any outcome.
Recommendations are general to your situation as Kova knows it; they do not consider everything about your circumstances, goals or risk tolerance. You decide whether to act on any recommendation, and you are responsible for that decision. Check the terms of any account or card directly with its provider before applying or contributing.
8. Third-party products and services
Kova may name credit cards, account types or deposit products offered by banks, card issuers and other companies. We do not offer those products, are not responsible for them, and do not guarantee you will be approved. Applying for a credit card usually involves a hard credit inquiry that may affect your credit score. Your relationship with any provider is governed by that provider's terms.
Kova receives no payment from these providers. Links to their websites are for convenience only.
9. Acceptable use
You agree not to: use the Service for anyone but yourself without their permission; connect accounts you are not authorized to access; reverse engineer, scrape or interfere with the Service; use it for any unlawful purpose; or misrepresent your identity or eligibility.
10. Intellectual property
Kova owns the Service, including its software, card database, recommendation logic, design and the Kova name and marks. We give you a personal, non-transferable licence to use the Service under these Terms. Your financial data remains yours; our use of it is described in the Privacy Policy.
11. Disclaimers
To the extent permitted by law, the Service is provided "as is" and "as available". We work to keep tax rules, card terms and data accurate and current, but we do not promise the Service will be error-free, uninterrupted or always up to date. Nothing in this section excludes any warranty or condition that cannot be excluded under the Consumer Protection Act, 2002.
12. Limitation of liability
To the extent permitted by law, Kova is not liable for indirect, incidental or consequential losses, or for losses arising from: information you entered that was inaccurate; decisions you made about third-party products; or outages of your financial institution or our data connection provider.
To the extent permitted by law, Kova's total liability to you for any claim relating to the Service is limited to the greater of the fees you paid Kova in the 12 months before the claim.
These limits do not apply to liability that cannot be limited by law, including liability for our gross negligence, wilful misconduct or breach of our privacy and security obligations.
13. Suspension and termination
You can close your account at any time in Settings. We may suspend or close your account if you breach these Terms, are no longer eligible, or if we must comply with law or protect the Service. Except in urgent cases, we will give you notice and a chance to fix the problem. If we close a paid account without cause, we refund the unused portion of your subscription. When your account closes, we delete or de-identify your data as described in the Privacy Policy.
14. Changes to these Terms
We will email you at least 30 days before any change to these Terms takes effect, explaining what is changing. For material changes, such as changes to price, renewal or how your data is used, we will ask for your express agreement. If you do not agree, you can cancel and receive a refund of any prepaid, unused period.
15. Governing law and disputes
These Terms are governed by the laws of Ontario and the federal laws of Canada that apply there. Please contact us first at [support email] so we can try to resolve any issue. If we cannot, you may bring a claim in the courts of Ontario, including Small Claims Court. Nothing in these Terms requires you to arbitrate or prevents you from joining a class proceeding, where the Consumer Protection Act, 2002 gives you those rights.
